[ONLINE] The Law of Meetings – Conduct & Procedure – 28 July

During this session, the speaker shall provide  (i) a general overview of the distribution of power between the two principal organs of a company in terms of the Companies Act, Chapter 386 – the general meeting and the board of directors; and  (ii) a detailed overview of the purpose, conduct and procedure of meetings, by reviewing the rules that regulate the conduct of meetings and the decision making process both at general meetings and at meetings of the board of directors. Topics such as the different types of general meetings, business to be transacted in specific meetings, convening of meetings, notices of meetings, the concept of proxies, the concept of quorum, voting amongst others, shall be discussed. The participants should leave the session with a good understanding of the law of meetings in terms of the Companies Act.
